THE ZONE SCHOOL MASTERMIND PROGRAM
INTRODUCTION
NOTICE: ANY ACCESS TO AND USE OF THIS WEBSITE AND ANY ONLINE APPLICATIONS, SOFTWARE OR CONTENT AVAILABLE THROUGH THIS WEBSITE IS SUBJECT TO AND WILL CONSTITUTE YOUR ACCEPTANCE OF THESE TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU ARE NOT PERMITTED TO ACCESS OR USE THIS WEBSITE OR ANY ONLINE APPLICATIONS, SOFTWARE OR CONTENT AVAILABLE THROUGH THIS WEBSITE.
These Terms of Use (the “Terms”) by and between you and Zone School of Healing, LLC (“Zone”) governs your access to and use of (i) the training information and other related content, including without limitation, any concepts, data, recommendations, instructions, alternatives, methods, techniques, procedures, lessons, videos, written materials, other content, or other information supplied by Zone (the “Content”), (ii) the online application software and platforms (including this website) through which such
Content is made available to you, and (iii) any related services, software, or other solutions provided by Zone (collectively (i), (ii) and (iii), the “Zone Services”).
By using the Zone Services you acknowledge having read, understood and agree to be bound by these Terms, and you agree to comply with all applicable laws and regulations in your use of the Zone Services, including U.S. export and re-export control laws and regulations. The Zone Services, including all Content incorporated therein, are protected by law, including, but not limited to, United States copyright law and international treaties.
Use of the Zone Service is subject to the Zone Privacy Policy and additional terms and conditions presented by Zone, all of which are made part of these Terms by this reference.
SERVICE PROVIDER
These Terms are between you and Zone School of Healing, LLC, 6200 Hospitality Drive 1st Floor, Franklin, Tennessee , 37067
AGE AND ELIGIBILITY REQUIREMENTS
BY USING THE ZONE SERVICE, YOU AFFIRM THAT YOU ARE 18 YEARS OR OLDER TO ENTER INTO THESE TERMS, OR, IF YOU ARE NOT, THAT YOU ARE 13 YEARS OR OLDER AND HAVE OBTAINED PARENTAL OR GUARDIAN CONSENT TO ENTER INTO THESE TERMS. Additionally, in order to use the Zone Service and access any Content, you represent that you reside in the United States, and any registration and account information that you submit to Zone is true, accurate, and complete, and you agree to keep it that way at all times.
1. LICENSE AND ACCESS TO THE ZONE SCHOOL MASTERMIND PROGRAM
1.1 User Type
Full access to certain Zone School Mastermind Program is available only to individuals for whom access has been purchased or otherwise granted by Zone via Zone’s online order form on their own behalf (“Paid Membership”). Certain Paid Membership options may include ongoing services and/or services offered for a Prepaid Period.
1.2 Paid Membership License
For Zone School Mastermind Program licensed on a Paid Membership term basis, subject to your compliance with these Terms (including any other applicable terms and conditions), Zone grants you a limited, non-exclusive, revocable, non-transferable, perpetual (except as set forth herein) license for the personal, non-commercial use of the applicable Zone School Mastermind Program and Content solely for the Permitted Use. Your access shall remain in effect unless and until terminated by you or Zone. You agree that you will not redistribute or transfer the Zone Service or the Content. The Zone School Mastermind Program and Content are licensed, not sold or transferred to you, and Zone and its licensors retain ownership of all copies of the Zone School Mastermind Program and Content even after you purchase a Paid Membership.
1.3 Trial User License
Zone may, in its sole discretion, grant you access to certain Zone School Mastermind Program for a limited preview or trial period in order for you to preview and evaluate certain Zone School Mastermind Program before the purchase and/or adoption of the applicable Zone School Mastermind Program (“Trial Access”). If you received Trial Access to any Zone School Mastermind Program, then Zone grants you the non-transferable, nonexclusive, limited license to access and use the applicable Zone School Mastermind Program during the specified trial period on a single-user computer for the sole purpose of evaluating the applicable Zone School Mastermind Program, subject to the terms and conditions of these Terms. If you are granted Trial Access and decide not to license access to the Zone School Mastermind Program at the end of such period designated by Zone for your Trial Access, your authorization to access and to use the applicable Zone School Mastermind Program automatically terminates and you must immediately discontinue use of any applicable Zone School Mastermind Program.
1.4 Access
You agree not to give or make available your username, password, access code or other authentication method (including without limitation, your email address or Internet Protocol address, if applicable) used to access your account to any third parties. You remain responsible for all access to the Zone School Mastermind Program via your username, password, access code, or other authentication method, even if not authorized by you. If you believe that your username, password, access code, or other authentication method used to access your account has been lost or stolen or that an unauthorized person has or may attempt to use the Zone School Mastermind Program, you must immediately notify Zone at [email protected]. Access code(s), password(s) or other authentication are valid only in the country in which issued.
1.5 Third Party Material
The Zone School Mastermind Program may be integrated with, or may otherwise interact with, third-party applications, websites, and services (“Third-Party Applications”) and third-party personal computers, mobile handsets, tablets, wearable devices, speakers, and other devices (“Devices”). Your use of such Third-Party Applications and Devices may be subject to additional terms, conditions, and policies provided to you by the applicable third party. Zone does not guarantee that Third-Party Applications and Devices will be compatible with the Zone Service. In the event of changes in the terms applicable to such Third-Party Applications and Devices, Zone reserves the right to terminate access to any Third-Party Applications and Devices, remove any Third-Party Applications and Devices from the Zone School Mastermind Program, modify the Third-Party Applications and Devices accessible hereunder, or add additional terms and conditions applicable to such material, in each case effective immediately upon notice being made reasonably available to you. In the event of any conflict between the terms hereof and the terms governing the Third-Party Applications and Devices, the terms governing the Third-Party Applications and Devices will control.
1.6 Updates and Discontinuation
Zone may update, modify, or replace the Zone School Mastermind Program, including any Content available therein, from time to time. Zone reserves the right to discontinue offering access to any Zone School Mastermind Program, or a portion thereof, through any or all websites or platforms at any time for any reason, without notice or liability to you.
2. PAYMENTS AND CANCELLATION
2.1 Billing
You may purchase a Paid Membership directly from Zone by paying a membership fee plus applicable taxes as disclosed to you prior to your purchase through Zone’s online order form (Tax rates are calculated based on the information you provide and the applicable rate at the time of your monthly charge). Some of the Paid Membership options include the ability to purchase certain prepaid services offered during a set term (“Prepaid Period”), which may be subject to a refund if not offered or were modified by Zone. NO REFUNDS EXCEPT WHERE REQUIRED BY LAW.
2.2 Membership Term Commitment
Mastermind and Mastermind Alumni Programs: Enrollment in these programs requires a minimum commitment period of twelve (12) months, unless otherwise expressly stated in a promotional or special offer. Early cancellation is not permitted under any circumstances. Participants remain responsible for full payment of all fees due for the entire commitment period.
In the event of non-completion, suspension, or discontinuation of participation for any reason, access to program benefits may be revoked; however, no refunds, credits, or proration will be provided for any unused portion of the term, including but not limited to prepaid periods, 1-on-1 coaching sessions, or other premium services included in the program.
2.3 Price and Tax Changes
Zone may from time to time make changes to Paid Memberships and will communicate any price changes to you in advance. By continuing to use the Zone Service after the price change takes effect, you will have accepted the new price. If you do not agree to a price change, you can reject the change by unsubscribing from the applicable Paid Membership prior to the price change going into effect. Tax rates are based on the rates applicable at the time of your monthly charge. These amounts can change over time with local tax requirements in your country.
2.4 Forfeiture of 1-on-1 Coaching and Premium Services
In the event that a member ceases participation, requests termination, or fails to maintain active payment for any reason, the member will immediately forfeit all scheduled 1-on-1 coaching sessions, Mastermind training privileges, and any other premium services associated with the membership. All such forfeited services are non-refundable and non-transferable, and the member remains fully responsible for all fees due for the entire commitment period.
2.5 Refunds Upon Discontinuation
If you have paid fees directly to Zone for a Paid Membership that Zone permanently discontinues prior to the end of your Prepaid Period (as that term is defined in the “Payments and Cancellation” section), Zone will refund you the prorated portion of the prepaid fees for the Prepaid Period after such discontinuation. Your account and billing information must be up to date in order for us to refund you.
3. PROPRIETARY RIGHTS AND USE
3.1 Ownership
All Zone School Mastermind Program, Content, and software provided by Zone are the property of Zone or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. No title to or ownership of the Zone School Mastermind Program or Content is transferred to you.
3.2 Limited Use License
You may access and use the Zone School Mastermind Program solely for your personal, non-commercial use in accordance with these Terms. Except as expressly permitted herein, you may not copy, reproduce, distribute, modify, display, perform, republish, download, store, transmit, or create derivative works of the Zone School Mastermind Program or Content without prior written consent from Zone.
3.3 No Transfer or Assignment
You may not transfer, sublicense, or assign your rights under these Terms to any other individual or entity without prior written consent from Zone. Any attempted transfer or assignment without such consent shall be void and of no effect.
3.4 Trademarks and Branding
All trademarks, service marks, logos, and trade names used in connection with the Zone School Mastermind Program are owned by Zone or its licensors. You may not use any Zone trademark, logo, or trade name without prior written consent from Zone.
3.5 Forfeiture of Intellectual Property Access Upon Membership Termination
Upon expiration or termination of your Paid Membership, you shall immediately lose access only to the benefits and materials exclusive to the Paid Membership tier, including but not limited to: (a) the twelve (12) one-on-one sessions; (b) access to the advanced program; and (c) access to weekly Q&A sessions. Such access is non-transferable and shall immediately cease upon expiration or termination of the membership. Any continued use, reproduction, distribution, or unauthorized access to proprietary materials or membership-exclusive content is strictly prohibited.
3.6 User Content
By submitting content, questions, or materials to Zone, you grant Zone a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, perform, and create derivative works of such content in connection with the Zone School Mastermind Program and marketing thereof. You represent and warrant that you own all rights in such content or have obtained all necessary permissions to grant the license herein.
3.7 Feedback
Any feedback, suggestions, or ideas you provide to Zone regarding the Zone School Mastermind Program may be used by Zone without restriction and without obligation to you. You agree that Zone may freely use and incorporate such feedback into the Zone School Mastermind Program or any other products or services without any compensation or credit to you.
4. PAYMENTS, REFUNDS, AND MEMBERSHIP TERMS
4.1 Paid Memberships
You may purchase a Paid Membership directly from Zone by paying the membership fee plus applicable taxes as disclosed at the time of purchase. Taxes are calculated based on the information you provide and the applicable rate at the time of your charge.
4.2 No Refunds for Certain Failures
Zone shall have no obligation to provide refunds in connection with internet outages, technical failures, or interruptions caused by events outside Zone’s control, including acts of government authorities or third parties.
4.3 Membership Forfeiture and Termination
If you fail to comply with the Terms, including benchmarks or obligations tied to your Paid Membership, Zone may terminate your access immediately. Termination will result in the forfeiture of all prepaid fees, unused training materials, and any remaining rights under the Paid Membership.
4.4 Chargebacks and Disputes
You waive the right to initiate chargebacks or disputes for payments made in accordance with these Terms, except where prohibited by law. Any disputed payments may result in immediate suspension of your access and liability for all unpaid amounts plus a non-refundable administration fee of $30 or the maximum permitted by law.
4.5 Price and Tax Changes
Zone may modify membership fees and applicable taxes. Continued use of the Zone School Mastermind Program after such changes constitutes acceptance. If you do not agree, you may unsubscribe prior to the effective date of the change.
5. ADDITIONAL OBLIGATIONS, SECURITY, AND COMPLIANCE
5.1 Compliance with Laws
You shall comply with all applicable federal, state, provincial, and local laws, rules, and regulations in connection with your access to and use of the Zone School Mastermind Program pursuant to these Terms.
5.2 No Competitive Use
You shall not use the Zone School Mastermind Program, or any information derived therefrom, to develop any products or services that could compete with Zone School Mastermind Program or other products or services provided by Zone.
5.3 Security Obligations
You agree not to attempt to access areas of Zone’s systems or information without authorization.
You shall not use any robot, spider, scraper, or automated process to monitor, copy, or extract data from the Zone School Mastermind Program, except as expressly permitted.
You will not spam, solicit, or send unsolicited communications through the Zone School Mastermind Program.
You shall not interfere with or disrupt the proper functioning of the Zone School Mastermind Program, including by imposing an unreasonable or disproportionately large load on Zone’s infrastructure.
5.4 Account and Access Security
You are responsible for all activity occurring under your account credentials (username, password, access codes, or other authentication methods).
If your credentials are compromised, lost, or stolen, you must notify Zone immediately at [email protected].
Access credentials are valid only in the country in which issued, and any attempt to circumvent regional restrictions is prohibited.
5.5 Third-Party Applications and Devices
Zone School Mastermind Program may interact with Third-Party Applications and Devices. Your use of these may be subject to additional terms imposed by the third party.
Zone does not guarantee compatibility with third-party applications or devices.
In the event of changes in third-party terms, Zone may modify, restrict, or terminate access to such applications or devices at its sole discretion.
In the event of conflict between these Terms and third-party terms, third-party terms will control.
5.6 Updates and Modifications
Zone may update, modify, or replace any Zone School Mastermind Program or Content at any time.
Zone may temporarily suspend services for maintenance or updates, or permanently discontinue access to certain services or content.
Zone will use reasonable efforts to notify users of material changes affecting access or content.
If you have prepaid for a membership and Zone discontinues the service, you are entitled to a prorated refund for the unused period (subject to Section 5.2 above).
Zone has no liability for service interruptions or failures caused by events outside its control.
6. USER CONTENT, UPLOADS, AND LINKS
6.1 Ownership of Content
You retain ownership of all intellectual property rights in content that you upload, submit, or post to the Zone School Mastermind Program (“User Content”).
By uploading or posting User Content, you grant Zone a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform the User Content in connection with Zone School Mastermind Program.
6.2 Representations and Warranties for User Content
You represent and warrant that:
You have all rights necessary to submit the User Content.
The User Content does not infringe, misappropriate, or violate any third-party rights.
The User Content is accurate, truthful, and does not contain illegal, harmful, or defamatory material.
6.3 Prohibited Content
You shall not upload, post, or transmit any content that:
Contains viruses, malware, or harmful code.
Promotes discrimination, harassment, or illegal activity.
Infringes intellectual property or privacy rights of any third party.
Violates any applicable laws or regulations.
6.4 Monitoring and Removal
Zone reserves the right, but is not obligated, to monitor, review, or remove User Content for any reason, including suspected violation of these Terms.
Zone may suspend or terminate accounts for repeated violations of these Terms without prior notice.
6.5 Links and Third-Party Content
The Zone School Mastermind Program may contain links to third-party websites or resources.
Zone is not responsible for the availability, accuracy, or legality of such third-party content.
Inclusion of links does not imply endorsement or approval by Zone.
Your interactions with third-party websites are subject to the terms and privacy policies of those sites, not these Terms.
6.6 Indemnity for User Content
You agree to indemnify, defend, and hold harmless Zone, its affiliates, officers, and employees from any claims, damages, liabilities, costs, or expenses arising from your User Content or your violation of these Terms.
7. DISCLAIMERS, WARRANTIES, AND LIMITATION OF LIABILITY
7.1 No Warranty
THE ZONE SCHOOL MASTERMIND PROGRAM, INCLUDING ANY CONTENT, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
ZONE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY.
7.2 Industry Disclaimer
The Zone School Mastermind Programs are not a substitute for professional medical, clinical, or legal judgment.
You remain solely responsible for applying professional judgment when using the Content.
Any treatment, diagnostic, or procedural decisions must be made based on your independent evaluation and local standards of practice.
7.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZONE, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:
INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES;
LOSS OF DATA, BUSINESS, OR PROFITS; OR
ANY CLAIMS ARISING OUT OF OR RELATED TO USE OR INABILITY TO USE THE ZONE SCHOOL MASTERMIND PROGRAM OR THIRD-PARTY CONTENT.
7.4 Essential Terms
You acknowledge that the disclaimers and limitations herein are essential elements for making the Zone School Mastermind Program available.
Absent your agreement to these limitations, Zone would not provide access to the Services.
7.5 Time Limits for Claims
ANY CLAIM ARISING UNDER THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR FROM THE DATE YOU FIRST KNEW OR SHOULD HAVE KNOWN OF THE EVENT GIVING RISE TO THE CLAIM.
CLAIMS NOT BROUGHT WITHIN THIS PERIOD ARE WAIVED.
7.6 Exceptions
Nothing in these Terms limits liability to the extent prohibited by law, including for:
FRAUD OR FRAUDULENT MISREPRESENTATION;
DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; OR
OTHER NON-WAIVABLE LEGAL RIGHTS.
8. INDEMNIFICATION
8.1 Your Obligation to Indemnify
You agree to defend, indemnify, and hold harmless Zone, its affiliates, licensors, collaborators, and their respective officers, directors, employees, agents, successors, assigns, and subsidiaries (collectively, the “Indemnified Parties”) from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses, including reasonable legal and accounting fees, arising out of or relating to:
Your use of the Zone School Mastermind Program;
Your violation of these Terms or applicable laws;
Your negligence or willful misconduct;
Any incomplete, inaccurate, or misleading information or data you provide;
Unauthorized use or distribution of any Zone Content; or
Any User Content you upload or post to the Zone School Mastermind Program.
8.2 Participation of Zone
Zone may, at its sole discretion, assume or participate in the investigation, settlement, and defense of any claim at your expense.
8.3 Settlement Restrictions
No claim may be settled without Zone’s prior written consent, unless such settlement:
Provides a complete release of Zone and the Indemnified Parties; and
Does not require any payment or injunctive relief binding on Zone or its affiliates.
8.4 Intellectual Property Injunction
You acknowledge that breaches of the intellectual property protections in these Terms may cause irreparable harm to Zone and its affiliates.
Zone is entitled to seek injunctive or equitable relief in addition to other remedies, without proving actual damages or posting a bond.
9. GENERAL PROVISIONS
9.1 Assignment
You may not assign or transfer these Terms, in whole or in part, without prior written consent from Zone.
Zone may freely assign or delegate these Terms or any duties, in whole or in part, to:
Any affiliate or successor; or
Any party involved in a sale or change-of-control transaction.
Any unauthorized assignment by you shall be null and void.
9.2 Entire Terms
These Terms, including any referenced documents, constitute the complete and exclusive agreement between you and Zone regarding the subject matter herein.
This supersedes all prior agreements, oral or written.
You acknowledge that no representations or promises not expressly stated herein were relied upon in entering into these Terms.
9.3 Location of Services
The Zone School Mastermind Program are controlled and operated from the United States.
Zone makes no representation that the Services are appropriate or legal in other jurisdictions.
Users accessing the Zone School Mastermind Program from other locations do so at their own risk and are responsible for compliance with applicable laws.
9.4 Customer Support and Complaints
For account or payment support or questions regarding the Zone School Mastermind Program or these Terms, contact [email protected].
In California, users may contact the Complaint Assistance Unit, Division of Consumer Services, California Department of Consumer Affairs, 1625 N. Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at 1-800-952-5210, regarding complaints about the Zone School Mastermind Program.
9.5 Survival
Terms intended to survive termination or cancellation shall remain in effect.
9.6 Third-Party Rights
Owners of Zone Content and certain distributors (e.g., app store providers) are intended beneficiaries and may enforce these Terms directly.
Except as stated, these Terms do not grant rights to anyone other than you and Zone.
9.7 Apple (iOS) Applications
If you use a Zone App from the Apple App Store, you acknowledge:
These Terms are between you and Zone only, not Apple;
Apple is not responsible for the Zone Service or its content;
Apple has no obligation to provide maintenance or support for the Zone App;
Any warranty claims must be directed to Apple for a refund of the App purchase price.
10. MISCELLANEOUS
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law rules.
10.2 Dispute Resolution
Any disputes arising out of or relating to these Terms shall first be attempted to be resolved informally by contacting Zone at [email protected].
If not resolved within 30 days, disputes shall be resolved exclusively by binding arbitration in Los Angeles County, California, under the American Arbitration Association’s rules.
Judgment on the arbitration award may be entered in any court with jurisdiction over the parties.
10.3 Waiver
Failure by Zone to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
10.4 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Notices are effective upon receipt for email and three (3) business days after mailing.
10.6 Changes to Terms
Zone may update these Terms at any time.
Updates will be posted on the Zone website with the effective date.
Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
